Google’s bid for Motorola (NYSE: MMI) is likely to get a thumbs up from the U.S. Department of Justice, but still could face opposition from other regulators both in the U.S. and in Europe. The landmark $12.5 billion deal is essential for Google’s attempts to play defense in the mobile patent wars, as the DOJ is also likely to finally sign off on the results of the Nortel patent auction that kicked off Google’s desperate bid.

The Wall Street Journal, citing those all-knowing “people familiar with the matter,” said the DOJ might approve the deal as early as next week. Google (NSDQ: GOOG) has pledged to operate Motorola as a standalone company, and so the government’s main focus on Google has been whether or not it will use the patents acquired from Motorola in an offensive fashion.

Mobile rivals are already complaining that Google plans to uphold Motorola’s patent-licensing strategies on what have been deemed “essential” patents by asking for a royalty rate above what they consider fair as well as its willingness to leave the threat of an injunction on the table, which other companies have pledged not to employ for standards-essential patents. The report said regulators will watch closely to see how Google uses the Motorola patents post-acquisition.

And in related news, the DOJ plans to approve the $4.5 billion purchase of Nortel’s patent portfolio by a group of mobile companies that included Apple (NSDQ: AAPL), Microsoft (NSDQ: MSFT), and Research in Motion (NSDQ: RIMM), denying Google a chance to solidify its patent holdings for far less money than it will pay for Motorola. That event prompted Google to open talks with Motorola and to lash out at its rivals for playing the patent game more effectively than Google.

Today brings news of yet another round of capital-intensive cost-cutting for the challenged mobile phone maker Nokia: the company today announced that it would be transferring smartphone assembly from factories in Hungary, Finland and Mexico, and putting the operation in Asia.

The plants will remain operational now for “smartphone product customization.” The news comes amidst unconfirmed reports that the company is planning to curtail its Symbian lineup after the release of the next model.

Nokia (NYSE: NOK) says that the transfer will result in the loss of 4,000 jobs in total, and the reductions will take place through the end of 2012.

Nokia does not outline how much the move to Asia will mean in terms of money saved, but this is a decision that has been some time in the making: these were plants that were spared in the last round of cuts under CEO Stephen Elop.

Since then, Nokia has reported yet more declines in its smartphone shipments, mainly around its legacy Symbian platform. The company is now gradually moving to making more of its smartphone portfolio based on Microsoft’s Windows Phone platform.

Now, Nokia says that the move is being made to put the manufacturing bases closer to where the different components are being made for those smartphones. That is a move we have seen from many other companies—and was the subject of a series of stories recently concerning Apple (NSDQ: AAPL) in China and the role of Foxconn in that business.

The move to make these plants focused on customization, meanwhile, points to some focus that Nokia does seem to maintain on its software and services for its devices—a crucial part of the company’s differentiation as it moves more and more to a platform being used by its competitors as well. Others that make Windows Phone devices include Samsung and HTC.

The news comes amidst other reports about Nokia that claim the company is planning to curtail its Symbian lineup after the next model comes out.

Symbian is gradually being phased out for Microsoft’s Windows Phone platform, but Nokia had originally said it would support the OS until 2016, and that could still be the case even if it stopped making devices based on it. Nokia transferred the operation of Symbian to Accenture last year.

A spokesperson from Nokia told paidContent that the article was “speculative at best” and would not comment on device rumor or speculation:

“As we have previously said Symbian continues to be an important part of our portfolio and going forward it will play a more focused role as we accelerate our transition to Windows Phone,” he said. “We remain fully committed to the platform through 2016, which means on-going software support as we go forward.”

The company is currently rolling out an update to Symbian, Belle, and the devices remain popular in the Middle East, Russia and India, even as they have lost out to Android-based devices, Apple’s iPhone and even RIM (NSDQ: RIMM) in other markets.

Magazine and web publisher Future has hit a key milestone in the media industry’s great transition - UK digital revenues made up for print revenue falls between October and December.

Digital circulation and advertising revenue growth of 51 percent from the previous year came thanks to Future having pushed 65 of its titles to iTunes Store upon Newsstand’s launch early in October.

The result is finally an encouraging sign of light at the end of the tunnel for legacy media businesses which have spent years attempting to transition their efforts from analogue to digital.

Future CEO Mark Wood: “We are starting to see a significant change in the shape of the business as our digital innovation enables us to reach entirely new consumers in global digital markets.”

Future’s UK revenue for the quarter still fell by two percent, but that was mostly from the loss of a separate customer publishing contract, Future reported in Wednesday’s interim earnings disclosure.

Now, for some, the reality may be dawning that, despite many digital products reaping owners dimes rather than dollars when compared with print equivalents, publishing them at scale can nevertheless return a company to pre-digital revenue growth rates.

As paidContent reported in January, Future’s free container apps for its tablet editions have been downloaded nearly 10 million times since Newsstand’s October launch, generating individual sales of over 430,000 magazines during the period.

Forty percent of tablet edition sales are subscriptions, but some of them may be short-term renewals.

“Print sales will be challenging, but we expect digital revenue to maintain a vigorous growth rate,” the company added in its market disclosure on Wednesday.

In the U.S., Future has been more challenged by the more rapid evaporation of print magazine circulations. But, after the board jettisoned CEO Stevie Spring and its finance director in October, replacement Wood has tackled the problem by selling Future’s U.S.-facing music magazines for up to $3 million and by committing to launch U.S. versions of its Radar web portals, starting with TechRadar. Cost cuts have now offset U.S. revenue falls, Wood reports.

The company did not specify print circulation trends.

It’s not digital advertising in the sense of display ads and search results, but it looks like we are getting a bit more color on what it is that Facebook will do first in the world of mobile marketing, and it could be coming online “within weeks.”

The company is gearing up to start inserting “featured stories” into people’s mobile feeds—effectively, marketing-led posts—which could start appearing as soon as early March. The date and news of the launch comes from the FT, which cites several people familiar with Facebook’s planning as its source.

Since filing its S-1 for an initial public offering last week, there has been a lot of speculation on how, exactly, mobile will fit into Facebook’s money-making picture longer term. The company was very sober in its description of its mobile business—usage is growing faster than even desktop engagement, but there’s no money in that growth yet, it admitted.

That was something of a bum note in a document that otherwise dazzles with its growth story to date.

If the FT report is true, it could mark the first step in Facebook’s strategy to change that and start to make marketing dollars out of its 425-million active mobile users, and take a portion of a mobile ad market that is going to top $2 billion in the U.S. alone this year.

Facebook still has a long way to go before its mobile presence—via the mobile web and apps—is a mirror, or even enhanced, version of what it offers on the desktop. However, it does look like there may be also some developments underfoot there as well, in the form of app buttons appearing on Facebook’s mobile web site.

Meanwhile, the news of “featured stories” appears to be a development on a story from last week, which quoted Paul Gelb, head of mobile for agency Razorfish, saying that his company was trialling rich-media mobile advertising with Facebook.

Facebook may well be looking into more classic display ads for its mobile interfaces, but in any event Gelb later clarified that he was referring to “rich media featured stories”, not ads.

But if featured stories are what are in play here, Facebook gave nothing away in its own statement to paidContent: “We want to clarify that we are not working with any agency to create paid ads on our mobile platform,” a spokesperson said in an email.

Even so, the past few days are not the first time that the subject of Facebook mobile sponsored stories have come up: in December, Bloomberg also noted that Facebook would launch such a service in March 2012.

Facebook has already taken over in markets like the U.S. and UK in terms of having the biggest share of revenues in online display ads, so it seems like a no-brainer that it would take that pole position into the mobile sphere. However, issues over privacy, and the basic lack of real estate on a mobile screen have been some of the gating factors in Facebook taking up the mobile marketing opportunity more aggressively.

When Carolyn Everson, Facebook’s global VP of marketing solutions, spoke at paidContent’s Advertising conference in September 2011, she highlighted Facebook’s caution in this mobile:

“We are holding ourselves to as high a standard as possible on mobile,” she said. “I don’t rule mobile out, but we are working hard to figure out what the right model is. We haven’t figured that out yet.”

As we noted at the time, check-in deals have been the one exception to that so far: when a user is in a location where Facebook can deliver a relevant offer, those deals are pushed to users. But if that has driven revenues to Facebook, it was not enough to merit a mention in the S-1 form.

Much has been made of the mobile risks that Facebook laid out in its S-1 IPO filing earlier this week. Essentially, it’s seeing/pushing massive growth in mobile, but it still hasn’t tried out advertising, its most effective route to revenues, on this platform. That’s not to say it won’t. But meanwhile, there is another area where Facebook is already making money through mobile.

For as long as Facebook has been running its Facebook Credits program—the virtual currency that users can redeem on games and other content peddled through Facebook’s network—it has been letting users top up those Credits using their mobile phones. It does this in partnership with companies like (reportedly) Boku and (definitely) Zong, the payments company bought by eBay’s PayPal last year. Users can also top up their Credits via PayPal and credit cards.

It’s not known how much, exactly, is purchased via the mobile channel today, but it is an example of how mobile is actually already driving significant revenue for Facebook. “Facebook Credits make a lot of money through mobile phones,” enough that Zong was “growing very fast last year” because of Facebook purchases, according to Frederic Court, a partner with Advent Venture Parnters, one of the VCs that backed Zong before the eBay (NSDQ: EBAY) buy.

This is because while sometimes the mobile payments were actually more expensive than a PayPal or credit card transaction, they are often a lot quicker to do, especially if you are in the middle of a game. And, as with other mobile-based payment options, they appeal to those who don’t have or want to enter card details.

Commissions on those Credits netted Facebook $557 million in revenues in 2011. (Facebook writes in the S-1 that the “other fees” that it designates on the same line as Payments was “immaterial.”)

At this point, Facebook doesn’t take any commission on Credits that are purchased via mobile: that service—which uses the premium SMS channel to send a code to a user to redeem Credits on the main site, and then charges the amount directly to the user’s mobile bill—already has some other parties taking a cut, including the provider (eg Zong or Boku), the mobile carrier and even another processing middleman. Rather, Facebook’s cut comes in the form of a commission on the payments, similar to what Apple (NSDQ: AAPL) takes for transactions on its App Store. That fee is 30 percent.

Could Facebook eventually take more control of its payments, and potentially cut out some of those middle people? Probably not soon, in Court’s opinion. “Zong brought something to Facebook that it didn’t know how to do, and it became very deeply integrated,” he said. “I don’t see them starting to do what Zong does, which is connecting hundreds of operators.” Then again, he added, “When they have a worth of $100 billion with $10 billion on the balance sheet they can do pretty much anything they want.”

What’s interesting is that as Facebook starts to expand some of the other functionality on its mobile platform, that will also open up a lot more opportunities in terms of mobile transactions as well.

As Facebook enables and opens APIs to get publishers to build apps for its mobile platforms (via the web and apps), “Facebook will make sure those are monetized,” he said. “I have no doubt Facebook will be making money on mobile games and other content given the engagement and scale on mobile. There is an amazing opening there.” Paying for Credits that will actually get used on the device itself, he said, will be “even more natural.”

Facebook in the S-1 said it had 425 million monthly active users accessing the social network via mobile devices, with that number outpacing the growth of overall subscribers.

“Credits is a wallet that you can top up in all kinds of ways,” he said. “Facebook has created its own currency and has imposed that on anyone offering digital goods on Facebook.” If anything, that currency might have a life outside the platform, to to buy things outside of Facebook.

But even with the opportunity for Credits, Court doesn’t see this eventually overtaking revenues from whatever advertising Facebook plans to put on its mobile services “for a very simple reason,” which is down to how those games are played today. “If you look at Zynga, only between two and three percent of people who play actually pay. The rest play for free. Tt will be the same for Facebook on mobile, with only a fraction spending money,” he predicted. “With advertising, 100 percent of the population is exposed.”

Even though Facebook has listed “no mobile ads” as one of its risks on the S-1, it could be playing its cards very close to its chest: the last few days has been a lot of speculation already about how soon Facebook will launch those mobile ads.

Razorfish (via Digiday) says that it is already working on a pilot for rich-media ads for the social network.

The blog Inside Facebook, meanwhile, has put its money down on sponsored stories to be the “most likely” first stab at mobile advertising on the site, with running a mobile ad network the second-most likely option. (That’s one that we explored a bit yesterday as well.)

Update: Razorfish’s VP of mobile, Paul Gelb, has made a correction on how his comments were portrayed in the Digiday story (via Twitter): his agency is not working on any mobile ad buying with Facebook. “In the interview I was referring to rich media featured stories, not paid ads,” he said.

A Facebook spokesperson, via email, added the following: “We want to clarify that we are not working with any agency to create paid ads on our mobile platform.”

Flaregames of Karlsruhe, Germany, is taking €6 million, led by Angry Bird backer Accel, to “scale” the company, hire new talent and to to market its upcoming series of free-to-play mobile games.

“Our first focus is on getting fun, high-quality games to market, and reaching the mass-market as well as mid-core gamers with our line-up this year,” said founder Klaas Kersting (via release).

“The mobile games business will likely be larger than the social games business,” according to Accel partner Harry Nelis. The firm is planning five games by year’s end.

Separately, Tusjuegos, a Spanish portal for buying and downloading PC and Mac games, is taking €420,000 from Spain’s VentureCap and others, Loogic reports.

Spain is plagued by illegal downloading. Tusjuegos is aiming to ensure game buying, after the box era subsides, remains legal in the online downloading arena.

Jaime Ferrer has been installed as CEO of Tusjuegos parent ITnet.

Facebook‘s nearly 200-page S-1 filing appears to have crippled the Securities and Exchange Commission’s Edgar website with the mass of people going there to take a peek at the social network’s numbers. That traffic may well be matched by the weight of numbers in the filing itself. Here’s a look at some of them:

845 million active users, 100 billion “friendships”, 250 million photos uploaded daily

That works out to an average of 118.3 friends per user, and an average of <strike>3.4</strike> 0.3 pictures uploaded each day by those active users. Among those 845 million active users, more than half—483 million—are actually daily active users (taking the photo average up to 0.5 uploads per day, or around 15 per month). They’ve gone up by 48 percent since December 2010, when they stood at 327 million DAUs. Those numbers sound big on one hand, but not so big on another: doing some very basic math, this works out to average revenues per user of only $4.39. As a point of comparison, Google (NSDQ: GOOG) currently makes about $36 per user; Yahoo (NSDQ: YHOO) $16 per user (via CBS).

$1 billion in net income on revenues of $3.711 billion

That works out to net income at about 30 percent of revenues in 2011, up slightly from the previous two years when net income was at about 29 percent of revenues. A sign of improving efficiencies?

$3.2 billion in ad revenue

That’s the ad revenue figure for 2011, out of total revenues of $3.7 billion. The rest of its revenue is made up by Facebook Credits and other payments. The growth in ad revenues at the moment appears to be slowing down: Facebook says between 2009 and 2010, ad revenues grew by 145 percent, but then between 2010 and 2011 it grew by only 69 percent. There’s a clear sign that Facebook will need to further diversify how it makes its money if that trend continues. Credits and other fees are still very much on the rise and becoming a more prominent part of the overall revenue pie. In 2011 they amounted to 15 percent of revenues ($557 million); in 2010 they accounted for only five percent ($106 million).

{data_set="111"}

$0 in mobile advertising

Facebook currently makes nothing from advertising on mobile devices because it has yet to extend ads to its mobile platforms. The S-1 didn’t specify whether it planned to introduce this and in fact cast its mobile prospects in the most sober light possible: Facebook thinks that growth in mobile monthly active users will exceed the growth of overall MAUs “for the foreseeable future” as Facebook continues to encourage more mobile use of its platform. There must be a business agenda in that but Facebook doesn’t spell it out here. In fact, it cautions that as more people could just start using the mobile platforms more than the desktop version, where ads do appear, “if we are unable to successfully implement monetization strategies for our mobile users, our revenue and financial results may be negatively affected.”

Zuck’s salary is going down to $1 from next year. At the moment Facebook has 3,200 employees in total. That works out to an average revenue per employee of $1,159,687.50.

It took the whole day, but Facebook finally—as many expected—filed its S-1 with the Securities Exchange Commission for its long-awaited IPO. While guesstimates for how much Facebook would try to raise ranged from $5 billion to $10 billion, in the end, it looks like it is the lower of that range: $5 billion.

There’s no firm idea yet on what that $5 billion might mean for a valuation of the company. But here are some quick early numbers: Facebook made $3.71 billion in revenue in 2011, almost twice what it did in 2010. Of that $3.71 billion, $1 billion was net income.

{data_set="112"}

It has 845 million active registered users with 483 million of them termed “daily active users”.

Advertising accounted for 85 percent of its revenue last year. Zynga accounted for 12 percent of its revenues overall and over 80 percent of its payment revenues.

And to confirm the rumors we heard about which banks are involved: Morgan Stanley is leading the IPO filing with J.P. Morgan, Goldman Sachs, BofA Merrill Lynch, Barclays Capital, and Allen & Co also participating.

Several folks are in line for a big gain on their investments. Facebook listed Accel Partners, DST Global Limited, Goldman Sachs, and T. Rowe Price as its major institutional shareholders. Dustin Moskovitz, a Facebook co-founder and CEO of startup Asana, is also a major stockholder listed in Facebook’s statement. Notable among the individual investors is Peter Thiel, who co-founded PayPal and will serve on Facebook’s board of directors.

It’s not just the IPO price, bankers and valuation that had people busy guessing. People have been speculating about other aspects of this IPO, including how much of a fee the banks will get on the deal (the range we’ve seen: between one percent and seven percent).

Now, with the IPO finally out, people will begin to pore over the numbers to figure out all sorts of things about Facebook that have not been completely clear while it was still in startup mode: What are its margins? What does it expect its growth rate to be? What are the comparative sizes of different business areas like advertising versus Facebook credits? What’s the geographical spread of its business?

However you cut it, the company has been a ground-breaker in the online world. You can argue about whether or not Facebook introduced the concept of social networking, but it has certainly run away with it, and now has 845 million users. And counting.

The question today is whether it will be able to convert that into a sustainable financial juggernaut, too?

More S-1 detail and number crunching here.

Some fallout from the various asset offloads we have seen from Nokia (NYSE: NOK) in the last year: Synchronica, which bought Nokia’s messaging business for $25 million in June 2011, has itself become a takeover target—apparently because it will not be able to make payments on money still owed to Nokia.

UK-based Synchronica’s main suitor is the Switzerland-based Myriad Group, which develops mobile software services that it says have been loaded into some 2.5 billion devices, including every Android device.

In a market announcement from Myriad, it outlines the main reasons why it believes Synchronica needs to sell itself:

Essentially, Synchronica owes Nokia $20.2 million by December 31, 2015. However, “the Myriad Board does not believe that Synchronica, given its current financial position and future prospects, will be able to repay the Nokia Debt and would also question Synchronica’s ability to meet the current repayment schedule in the short term.”

Myriad says it has had confirmation from Nokia that were Synchronica to be sold, the buyer would not need to pay the outstanding debt immediately.

A Synchronica spokesperson, meanwhile, would not confirm whether Myriad’s assertion over the inability to make Nokia payments was true or not.

Earlier this month, Synchronica issued a statement that said it expects to report full year 2011 revenues of approximately $23 million, “marginally ahead of market expectations”, and an increase of 111 percent compared to 2010. However it also posted increasing losses over the course of last year.

Synchronica purchase of Nokia’s messaging gateway business in June 2011 promised a big step up for business. It’s not clear, however, whether that messaging business was actually profitable to run when it was bought by Synchronica—and if Myriad’s assertions are true, Synchronica may not have been able to make a go of it in any case.

Before the Nokia buy, Synchronica focused on messaging services for emerging and developing markets. The Nokia deal, at the time worth more than the market value of Synchronica itself, gave the company entry to more mature mobile markets: it included the transfer of 10 carrier customers—including AT&T (NYSE: T), Verizon, T-Mobile and Sprint (NYSE: S)—which used Nokia’s technology in their own-branded messaging and email services, covering some six million users. The revenues from those deals were never disclosed by Synchronica but they worked on a per-user, per-month basis and were recurring.

The original deal also included a payment from Nokia to preload those messaging services into its own devices for a further 18 months, worth $18.2 million; a long-term relationship for further development of the messaging gateway and client software; the transfer of 250 employees; and 10 patents with royalty-free licensing for a further eight still owned by Nokia.

Myriad is offering £20.63 million ($32.5 million) for Synchronia, or 13 pence per share, according to the statement. This is the second time that Myriad has made an offer for Synchronia; the first, back in November, was rejected by Synchronica’s board, and the two sides have been negotiating since then. Today’s offer represents a premium of 70.49 percent on the company’s trading price on November 10, the day before Myriad’s first offer.

Myriad, which itself has a market capitalization of approximately 197.05 million Swiss francs ($214 million), develops linux-based and java-based software solutions—for example a piece of software that unifies all a users’ contacts from different social networks into a single screen—as well as services for other consumer electronics devices such as connected TVs.

Amazon (NSDQ: AMZN) says unit sales of print books grew by “double digits” in Q4 compared to last year. That “is impressive given the shift to Kindle,” said CFO Tom Szkutak in the investor call following this afternoon’s disappointing earnings report.

The growth in Amazon’s print sales could be attributed to Borders’ liquidation in 2011. Szkutak did not say whether the company’s print book revenues increased.

During the call, several analysts expressed concern that North American media sales grew relatively slowly during the quarter—they were up just 8 percent, to $2.56 billion, for Q4, despite the release of the Kindle Fire and new Kindle e-readers. (North American media sales grew 12.9 percent in Q4 2010.)

Szkutak sought to downplay those concerns, repeatedly attributing the slow growth to a decline in video game revenues year-on-year. “That’s impacting the North American media number, particularly versus Q4 last year,” he said—though he said at another point that the company “usually” sees declines in video game revenues in Q4 so it was unclear why things were worse this year.

In response to Goldman Sachs analyst Heather Bellini’s question on whether Kindle Fire sales are cannibalizing sales of Kindle e-ink readers, Szkutak said “both did very well and we’re very pleased with the growth we’re seeing there.”

As for Kindle Fire customers’ conversions to Amazon Prime (they get a 30-day free trial automatically with the purchase of the device), as well as Prime customers’ profitability in general,
Szkutak said it’s too early to tell but, as usual, “we like what we’re seeing.” Amazon is committed to “adding more content to Prime and making Prime better,” he said. “We think it is very good for customers and very good for shareowners….From what we see so far, it supports continued strong investment, so that’s what we’re doing.” He promised “over time we’ll be sharing more.”

Amazon (NSDQ: AMZN) disappointed investors by reporting Q4 2011 revenues of $17.4 billion this afternoon, up 35 percent from a year ago but missing analyst estimates. Net income slid to $177 million on earnings of $0.38 per share, down 58 percent from this time last year, and shares were down 8 percent in after-hours trading.

Amazon says Kindle sales (of the Fire and e-readers) “nearly tripled” during the nine-week holiday period ending December 31, up 177 percent over the previous year. As usual, the company did not state how many Kindles it has actually sold.

Operating income was $260 million for the quarter—beating the company’s forecast for operating income between -$200 million and $250 million for the quarter, though down 45 percent from last year. Amazon has invested heavily in fulfillment centers and devices and is believed to be taking a loss on the Kindle Fire. It has stressed that it thinks of the Kindle business in terms of “lifetime value,” including the device, accessories, content, ad-based revenue and the “special offers” on the ad-supported Kindles.

North American media sales grew just 8.1 percent during the quarter, to $2.56 billion, despite the release of the Kindle Fire and new e-readers during the quarter. International media sales for the quarter grew 20.3 percent, to $3.45 billion. Amazon launched Kindle stores in Italy and Spain during the quarter.

Amazon stressed the growth of its various video services, though it did not break out their revenues: The number of videos purchased or rented from Amazon Instant Video “more than doubled” over last year, as did the number of Instant Video customers. And “the number of Prime Instant Video streams increased nearly 300% in the fourth quarter compared to the third quarter.” (Prime Instant Video is available free to Amazon Prime members, who can choose from a library of over 13,000 titles.)

The long-awaited Facebook IPO might arrive as soon as next week, according to a new report. When the company does get around to filing the paperwork it will set Facebook on the path toward one of the richest IPOs in tech history.

Facebook could raise as much as $10 billion when shares of its stock are sold to the public, and the usual “people familiar with the matter” are telling the Wall Street Journal that the first step could come by next Wednesday. It is believed to be preparing an offer that values the company between $75 billion and $100 billion, according to the report.

That will also allow the public to get a peek at Facebook’s financial statements, a chance to see how effectively the social giant is making money on its 800 million users. Facebook is believed to be solidly profitable, unlike a few other tech IPOs from last year, and is increasingly making Google (NSDQ: GOOG) nervous with its ability to provide extremely targeted data to advertisers.

With most of the major handset makers having reported earnings for the quarter that ended in December, analyst houses are laying out their rankings in global smartphone and overall mobile shipments. Nokia (NYSE: NOK) has just about managed to keep its top position overall, while Apple’s phenomenal quarter has put it into pole position among smartphone makers—but only by a fraction of a percentage point.

New figures from Strategy Analytics show that Nokia, with shipments (which Nokia terms “sales”: more on that below) of 113.5 million, has continued to hold on to its position as the number-one phone maker in Q4. Its lead has narrowed by quite some way over last year: it was at 26.9 percent for the quarter and 25.5 percent for the year, compared to 30.9 percent and 33.3 percent for the quarter and year in 2010.

Samsung, shipping 95 million units, made smaller gains than Nokia lost: 1.1 percent on the quarter and 0.5 percent on the year to claim the number two-slot.

What stood in its way to overtaking Nokia? Apple (NSDQ: AAPL). On the strength of its smartphone-only portfolio, it made the biggest gain in market share of the top-three, picking up 4.3 percentage points for the quarter on shipments (like Nokia, Apple calls them “sales”) of 37 million units, to take an 8.3 percent share of the market for the quarter, and 6 percent for the year.

That’s sort of comparing apples with oranges, though. When comparing like-for-like: Apple has edged past Samsung for the quarter with a 0.4 percent lead in market share in smartphones, while over the whole of 2011, Samsung just about still leads Apple, with a 0.9 percent lead.

Nokia trailed the two by nearly twelve percentage points for the quarter, a big reversal from a year ago when it was well in the lead as the biggest-single smartphone maker.

Figures out today from IHS iSuppli, meanwhile, add in two more handset makers to the mix. It says that Sony (NYSE: SNE) Ericsson (NSDQ: ERIC) took the number-four slot after the first three (ranking them in the same order as Strategy Analytics); with Motorola (NYSE: MMI) just behind, with six million and five million devices shipped, respectively. IHS did not include RIM (NSDQ: RIMM), HTC or LG (SEO: 066570)—other notable vendors—in its rankings; they have not reported quarterly figures this week.

In both smartphones and mobile devices overall, “Others” grew numbers in unit terms and made an annual gain on market share to become the biggest group for 2011 market share in Strategy Analytics’ figures. That means still a lot of competition out there from many handset makers, with none of them having a significant enough share to merit placement in the top-three.

On a services level, that speaks to a continuing and strong amount of device fragmentation. That will continue to slow down revenue growth in other areas like mobile content and advertising—areas where it pays for there to be scale to charge the biggest prices. (Case in point: can you imagine what TV advertising or content production would be like if distributors and media buyers had to format ads for different TV set models?)

On shipments versus sales. While these numbers can be instructive, they can also be confusing: If you look at Strategy Analytics’ “shipments” numbers, they are the same as the “sales” numbers that companies like Apple and Nokia reported this week. Neil Mawston, executive director for Strategy Analytics’ global wireless practice, says vendors “tend to use those words interchangeably” even though one refers to actual devices in people’s hands, while the other is for devices that have been shipped to distributors, but not necessarily sold. “They can be open to interpretation,” he admitted. “A lot of companies use smoke and mirrors,” so Strategy Analytics uses other measures such as “channel checks” to measure shipments.

On RIM. It’s notable that RIM didn’t appear in the top-three smartphone makers, so I asked Mawston about their prospects: He says they are “not too far behind number-three” at the moment in overall rankings and smartphones, “and if they had a good quarter or two they could get close.” But the trend so far has been that RIM’s been slowing down and “not providing too much competition” globally. He didn’t mention Motorola or Sony Ericsson, which made iSuppli’s global ranking.

On Samsung. Mawston believes Samsung will stay ahead in smartphones, even with Apple’s strong Q4: “It just has more price points, appeals to both post and prepaid customers, and has a bigger distribution network among carriers,” he said, adding that Apple may well give it a run for its money. “They may trade places for a few quarters.”

He notes that Apple has a massive retail presence in some countries like the U.S. but ultimately it’s the carrier network that really gives device makers that extra leg up in worldwide sales—a key pillar of Nokia‘s fightback strategy, too. “The key thing with carriers is that they can subsidize the iPhone [or another device]. Without operator subsidies, [smartphones] would be nowhere near as large right now.”

Samsung may be king of the Android smartphone world, but it’s playing hard to get. The company declined to release smartphone sales figures late Thursday in reporting record earnings, but it is clearly faring better than some Android competitors against Apple’s iPhone juggernaut.

Record profits were the big story for Samsung during the fourth quarter, in which it recorded $4.7 billion in profit according to Reuters (NYSE: TRI). Revenue was up 13 percent to 47.3 trillion won ($42 billion) and profit rose 16 percent compared to last year. Samsung is of course a huge conglomerate, with businesses ranging from mobile phones and televisions to semiconductors and refrigerators.

Samsung’s mobile unit reported a 54 percent increase in revenue and a 74 percent increase in profits, hours after fellow Android rival Motorola (NYSE: MMI) reported a loss for its fourth quarter. Samsung has had the upper hand in the Android world for several months despite Google’s pending purchase of Motorola, with devices like the Samsung Galaxy S II and Galaxy Nexus leading the way. But it provided no data on tablet sales, several months after the launch of the Galaxy Tab, something even Motorola was able to disclose.

The company would only say that smartphone shipments increased 30 percent compared to the past quarter, which analysts interviewed by Reuters interpreted as around 36 million units, just shy of the 37 million iPhones that Apple (NSDQ: AAPL) sold during its first fiscal quarter. It’s quite disappointing that Samsung would take a cue from Amazon (NSDQ: AMZN) and Nokia (NYSE: NOK) in declining to report actual shipment totals, but it’s understandable why the company may not welcome direct comparisons with competitors.

Having already warned investors that its fourth quarter was going to be rough, Motorola (NYSE: MMI) didn’t disappoint when the actual numbers arrived Thursday. Smartphone shipments were up slightly but the company continues to lose money on mobile sales while everyone waits for a ruling on the Google (NSDQ: GOOG) deal.

Revenue was in line with the lowered guidance Motorola provided in December of $3.4 billion. Excluding special items, earnings per share were $0.20, far greater than expectations of $0.06, but using the GAAP standard Motorola recorded a net loss of $80 million compared to a net income of $80 million in last year’s fourth quarter.

Smartphone shipments came in at 5.3 million units, up from 4.9 million units a year ago, while tablet shipments remained anemic at just 200,000 units. For the full year Motorola shipped 18.7 million smartphones and 1 million tablets, it said.

But Motorola’s mobile division had a scary year: the group recorded an operating loss of $285 million for the full year, and an operating loss of $70 million in the fourth quarter. Motorola didn’t make any money selling phones last year, either, losing $70 million for the full year.

Those totals include sales of regular old feature phones, still a big part of Motorola’s overall business. The company sold 10.5 million mobile devices in the fourth quarter and 42.4 million devices for the year.

Motorola is still waiting to hear if regulators will approve Google’s bid to purchase the company for $12.5 billion, and as a result it no longer holds the customary conference call following the release of an earnings report.

(Updated 4:46 p.m. ET: I changed the original headline and a couple of references in the text to make it clear that Motorola’s losses were across all of its mobile devices, not just smartphones.)

A set of quarterly results today from AT&T (NYSE: T) that underscored some of the aftershocks the carrier is feeling in the wake of its failed bid to buy T-Mobile USA. The carrier swung to a loss and failed to meet analysts’ estimates on earnings, partly down to a $4 billion charge it took for ending negotiations with Deutsche Telekom (NYSE: DT), after meeting what appeared to be insurmountable regulatory opposition to the deal.

The $4 billion charge—$3 billion in fees and $1 billion in wireless spectrum to T-Mobile USA—put a big dampener the quarter, which otherwise saw big gains in what the carrier refers to as its “growth engines”: wireless services and specifically those around smartphones; wireline data, including its U-verse TV service; and business services.

Overall revenues were $32.5 billion for the quarter, coming in above analyst estimates according to a poll from Yahoo. Excluding the charges, earnings per share were $0.42, which missed average analysts’ estimates of $0.43. The total net loss for the quarter was $6.63 billion.

iPhone juggernaut. It’s been a year since AT&T lost its exclusive grip on the iPhone in the U.S. but such is the power of the Apple (NSDQ: AAPL) brand in wireless right now, and AT&T’s continuing hold on its original iPhone customers, that the carrier nevertheless continues to get great dividends out of its association with it. AT&T said that it made 7.6 million iPhone activations for the quarter, with overall smartphone sales totaling 9.4 million devices.

AT&T didn’t spell out exactly how many iPhones it sold of those activated—and indeed some could have been bought directly from Apple unlocked. But if you assume that most would have been bought directly via AT&T, that works out to AT&T accounting for some 20 percent of the 37 million iPhones Apple sold in the last quarter, and iPhone accounting for some 80 percent of AT&T’s smartphone sales.

It also shows that despite some of the negative press that AT&T has faced over the quality of its wireless data network, it is still holding on to its customers over competitors Verizon and Sprint (NYSE: S). In its earnings earlier this week, Verizon noted that it had sold 7.7 million smartphones and seen 4.3 million iPhone activations in the quarter.

Correspondingly, AT&T said it saw a 10 percent growth in wireless revenues to $16.7 billion. Wireless data revenue growth is outstripping that of mobile revenues overall: it was $5.9 billion, up nearly 20 percent on a year ago, which AT&T says was driven by internet access, app usage and messaging.

AT&T’s fixed digital content play isn’t doing so bad, either. Revenues for its U-verse high-speed broadband and TV service were up by almost 44 percent over a year ago, and partly offset declines in DSL. Still not by enough: total revenues for wireline services were down by 1.4 percent to $14.9 billion.

AT&T does not break out tablets as an individual category and instead groups them with other non-phone “branded computing devices” like aircards. It said it had its best-ever quarter for the category, with sales of 571,000 with total subscribers now numbering 5.1 million, a rise of 70 percent.

Nokia’s Q4 earnings, released on Thursday, make for some challenging reading for even the most hopeful of Nokia (NYSE: NOK) watchers. The handset maker confirmed analyst estimates that it has sold over a million Lumia Windows Phone handsets - but that didn’t stop a horrible 31 percent slide in its total smartphone sales compared with last year. What’s more, drastic cost-cutting measures taken in the last year are not paying off so far. Revenues are down by 21 percent over last year, and the company reported an operating loss of nearly €1 billion.

Nokia currently has two models Windows Phone devices in the market, the Lumia 800 and Lumia 710, both 3G models, and is planning to launch a new 4G version in the U.S. in March of this year.

The day before Nokia’s results, a trio of news items released by the company—combined with the “leak” that it would be offering its first 4G phone, the Lumia 900, at a massive discount to the rest of the 4G offerings out there—looked a little like padding for worse news to come today, and that’s more or less what we got:

Handset unit sales were down eight percent to 113.5 million.

Feature phones actually held up in their unit sales: 93.9 million for the quarter, down by only one percent.

Smartphones, however, did significantly worse: 19.6 million devices, down 31 percent.

Device revenues overall were €6 billion, down 29 percent. Again, the biggest weakness was in smartphones, which had sales of €2.74 billion, down 38 percent.

Not surprisingly, Nokia is very much trying to draw a line under last year, one of profound transformation for the company, and look ahead to what 2012 will hold.

It’s taking a very aggressive strategy to pick up much-needed market share for its devices in key markets like the U.S. and UK, offering its handsets at massive discounts—and in the case of the UK, even free under certain contracts. That tactic will come at a big price though: unless Nokia has worked out a way to make high-end devices for less money than its competitors, it will continue to see erosion of its margins and device average selling price. In other words, it might win business, but at what cost?

In the quarter just ended, those margins continued their decline. In this quarter Nokia reported gross margins of 23.7 percent on smart devices, compared to 30.8 percent for the same quarter a year ago. ASP for smartphones was down by only three percent to €140—a figure that was helped by sales of more expensive models such as the N9 and the Lumia 800, according to Nokia. Feature phones saw a decline of 10 percent in ASP to €35, their lowest price yet.

Windows Phone sales. Nokia reached a milestone—or a “beachhead” as it calls it—by selling more than 1 million Lumia handsets. But this number is still a far, far cry from the 20.8 million smart devices that Nokia sold in Q4 of 2009, let alone the 37 million iPhones sold by Apple (NSDQ: AAPL) sold in Q4 2011.

The Windows Phone platform, according to figures from Kantar out this week, accounted for less than two percent of sales in any of the nine countries it surveys as a barometer of smartphone demand. That points to a very long road ahead for both companies to bring those numbers into a more credibly competing realm.

Nokia says that it will introduce its first WP7 devices into China and Latin America in the first half of 2012. This is important for a number of reasons: Greater China is currently Nokia’s second-largest market after Europe (€5 billion in device sales for China compared to €7 billion for Europe), but it is declining, seeing an 18 percent drop in revenues over last year and 20 percent in volumes. Meanwhile, LatAm is Nokia’s second-smallest market after North America but it’s one of the only ones that is growing (Middle East being the other growth region.) In LatAm, Nokia had sales of €2.5 billion on volumes of 46 million units.

LatAm and China are also both markets where Microsoft (NSDQ: MSFT) has yet to introduce Windows Phone, and where there is still a lot of room for smartphone growth—something that Apple, RIM (NSDQ: RIMM) and Android makers have not overlooked, either. Still, that means a population of consumers with less preconceptions about Android and iOS being “the” smartphone platforms of the future—getting through to those consumers is crucial if Microsoft truly hopes to makes its OS a truly global smartphone player.

Design front and center. In one more move to shore up confidence for the year ahead, Nokia today, separately, also announced that Marko Ahtisaari has been promoted to the position of EVP of design, and has also joined the company’s leadership team. Ahtisaari is a Nokia veteran who left the company and then returned after it acquired his social networking startup Dopplr. The emphasis on design is a significant one, considering that this is where Nokia will have to differentiate and excel in the years ahead as it makes phones on a platform—Windows Phone—that is also being used by its competitors.

During the earnings analyst call, Nokia executives gave a bit more color to the results:

CEO Stephen Elop acknowledged some of the big issues facing declining sales for the Symbian platform but still said the company would continue to remain committed to supporting the OS through 2016. Nokia earlier this year struck an outsourcing deal with Accenture to take over the management of the platform as part of its gradual winding down of operations. In the last year, Nokia has rolled out several new devices based on Symbian, and has a roadmap for updates to the software for the year ahead.

Nokia also highlighted the platform support payments and licensing fees that Microsoft and Nokia are paying each other. It was described by the company’s CFO Timo Ihamuotila as a “competitive” structure that will run in the billions of dollars between the two companies—although no indication of which party benefits more financially from those. This last quarter, Nokia recorded a payment of $250 million from Microsoft as a result of this arrangement and did not specify whether it paid out money to Microsoft as well. Consider that without that quarter-billion dollar payment those bottom-line results would have been even more gloomy.

The company will be offering a dividend of 20 euro cents per share and has no plans for stock repurchases in the year ahead.

Elop also highlighted something we have heard many times already—from carriers and Nokia itself: “The third ecosystem” argument is “very strong” with carriers. One wonders what that might mean between the lines. More big discounts, subsidized by operators, in the pipeline? More large orders ahead? Preferential treatment for Nokia over other platforms and handset makers?

A big endorsement today for mobile advertising from eMarketer: their analysts today said they were revising up their forecasts for U.S. mobile ad spend to $2.61 billion, from their previous estimates of $1.8 billion. Why the rise? Google’s “exceptional” mobile advertising performance in mobile search advertising, and more reliable market data.

eMarketer were the same analyst house that last year revised up their mobile ad forecasts to over $1 billion—the first time a company had made that proclamation. In the event, those revenues reached $1.45 billion, they said, nearly double what they were in 2010. Their 2012 figure represents a rise of 80 percent on last year.

Yesterday Yahoo’s new CEO Scott Thompson claimed that there wasn’t yet a clear leader in mobile advertising, and that it was still an open field. That may be the case in that there is still a lot of room for growth, but there is actually a company dominating the mobile ad business at the moment: Google (NSDQ: GOOG).

In 2011 eMarketer says that Google had about 51.7 percent of all mobile ad revenues, with sales of $750 million. The second-two biggest platforms were far behind it. Apple’s iAd took in $92.4 million for a 6.4 percent share; while Millennial earned $90.9 million for a 6.3 percent stake.

Google totally dominated the mobile search category—an area where Apple (NSDQ: AAPL) and Millennial currently do not play—with some 95 percent of all revenues. Google was not shabby in display, either, leading in that category, too—although not as comprehensively, with only 24.8 percent of the market, with Millennial Media and Apple’s iAd very close to each other for second place.

As a sign of how fragmented mobile display advertising remains, “other” was the biggest category of all with 39.6 percent of all sales.

How different mediums will grow. eMarketer predicts that spend in mobile search will double in 2012, with $1.28 billion spent in the medium compared to $652.5 million in 2011. Higher-value display and rich-media ads will see less investment—which could either be a sign that mobile is still working to earn its stripes as a credible medium with big brands, or a tacit belief that these formats simply are not working as effectively as search at the moment.

Display will be worth $861.7 million, a rise of 93.5 percent on 2011; video will be worth $151.5 million, a very respectable rise of 122 percent.

Very usefully for those of us who take forecasts with a grain of salt, eMarketer has also published a kind of leader board for how much different research groups believe mobile ads will bring in the year ahead. eMarketer is coming out at the top end with some of the more bullish predictions.

Mobile marketing and advertising services have also attracted the attention of venture capitalists: it was one of the big draws in a record-breaking year for mobile investment, according to research from the investment bank Rutberg & Co.

One day before Nokia is due to announce its next set of quarterly results, Nokia (NYSE: NOK) has made three announcements: a milestone reached with Series 40 feature phone purchases, and a buyer for its manufacturing plant in Romania, and a re-casting of its quarterly results for the three quarters preceding the one getting reported tomorrow.

Considering it is unlikely that Nokia will have arrested the declines it has been posting in revenues and market share for the past several quarters, the first two news items are more likely being released now to get investors in a good mood before breaking them the less good news tomorrow.

It is also another signal to the public that Nokia is moving swiftly along in its strategy to change up, in the wake of the famous “burning platform” memo sent out by CEO Stephen Elop (pictured) almost a year ago today.

Series 40. Nokia today announced that it had sold its 1.5 billionth Series 40 feature phone. The sale, appropriately enough, was made in Brazil—which, with the rest of the BRIC block, is a market that all big handset makers are sizing up as the next big target for mobile growth.

It was only yesterday that news emerged that Apple (NSDQ: AAPL) had hired a person (a Brazilian) to oversee Latin America. The Series 40 operating system is a proprietary OS of Nokia’s that is worth watching: earlier this month the company bought Smarterphone to enhance its feature phones, and these devices are being seen by Nokia, Samsung and others as a key ramping-up route to eventual smartphone users.

So much so that RIM’s new CEO had to face a question from an analyst on his first day in the job about whether BlackBerry would be considering a similar route to be able to pick up more users in emerging markets. (For the record, Thorsten Heins didn’t seem to warm to the idea.)

Nokia definitely wants to highlight its activity in the region of Latin America: in the last quarter (Q3) the company reported that revenues had declined by seven percent to $531 million and unit sales by six percent to 10.9 million devices.

Romania. Meanwhile, another step was completed in Nokia’s downsizing strategy, as the company found a buyer for its plant in Romania, closed down in November 2011 as part of its cost-cutting program. The plant had been used to make feature phones, but now it will be used to make home appliances for De’Longhi, the Italian home appliances maker. Financial terms of the deal were not disclosed, and it’s not clear whether any of Nokia’s former employees were included as part of the transfer deal.

Lastly, the re-stated results. As Nokia said that it would, the company has also now published a recast list of figures for financial quarters covering the previous two years. It says that it has done this mainly to account for how it has regrouped its mapping assets, NAVTEQ (NYSE: NVT) with its social location services, which used to be part of Nokia’s Devices & Services segment but are now together form a new division, Location & Commerce.

Important to note that these are not re-reported results: for example, Nokia’s operating loss for Q3 was still €71 million, no matter how you cut it.

Looking ahead to Thursday. Mobile people will be watching tomorrow’s results eagerly, not least because they want to see if Nokia includes some meaningful numbers about early sales of its new Windows Phone 7 smartphones. There has been a lot of dispute about how well these have been going: a report earlier this week indicated that Nokia had shipped 1.3 million Lumia devices, although some back-of-the-napkin analysis from Benedict Evans gave a far lower number for the number of phones that Nokia may have actually sold: between 300,000 and 400,000.

One operator claimed that their stock of Lumia devices, while figures from one retailer in the UK provided to paidContent indicated that Nokia’s Lumia 800—its first WP device in the UK—accounted for only 0.17 percent of sales in its first weeks on sale in the UK.

All of these are problematic in their own way, so hopefully Nokia will put a full stop to some of these question marks tomorrow.

One quarter after Apple (NSDQ: AAPL) mildly surprised everyone with a rare earnings miss, it’s clear Tuesday that the company’s amazing run is far from over. Apple sold 37 million iPhones in its fourth quarter alongside 15.4 million iPads, blowing away the estimates of financial analysts in what was the best quarter the company has ever seen.

Apple’s quarterly revenue was $46.34 billion, up 73 percent compared to last year’s fourth quarter. Net income was $13.06 billion, more than double last year’s profit of $6 billion and representing earnings per share of $13.87. Analysts were expecting $38.85 billion in revenue and earnings per share of $10.08, according to Yahoo Finance.

The fourth quarter (it’s actually Apple’s first fiscal quarter) was the first that the iPhone 4S was on sale, and that appears to have gone pretty well for the company. The 37 million iPhones sold during the quarter is also more than double the total from last year’s fourth quarter of 16.2 million and shows just how much pent-up demand there was for a new iPhone earlier this year: Apple sold 17 million iPhones a quarter ago. Apple has now sold 315 million iOS devices in total as of December, said Peter Oppenheimer, Apple’s chief financial analyst.

It seems pretty clear that smartphone market share will have moved in Apple’s favor during the fourth quarter, once the estimates are released over the next week or so. Apple CEO Tim Cook said on the company’s earnings call that while he can’t always get hard data on Android market share because of the free-for-all that is the Android community, Nielsen estimates for the fourth quarter suggest Apple is now neck-and-neck with Android for U.S. smartphone operating system market share. (See our chart on historical iPhone sales here.)

Some analysts think Samsung, perhaps the most vibrant Android partner, sold as many as 35 million smartphones during the quarter, but Samsung won’t release official numbers until Friday. Still, Motorola (NYSE: MMI) and HTC have struggled to the finish line in 2011, and Apple may have made significant gains at their expense, especially in the U.S.

Cook also made it clear that Apple is watching the fortunes of Windows Phone 7 and Windows 8, noting in response to a question about the two-horse race that’s often used to describe Apple versus Android: “There’s a horse in Redmond that always suits up and always runs, and will keep running.”

The iPad growth story was also off the charts: again more than double the totals from a year ago (15.4 million compared to 7.3 million) and up 40 percent compared to the third calendar quarter of the year despite new low-cost Android tablets from Amazon (NSDQ: AMZN) and Barnes & Noble (NYSE: BKS) that actually appeared to resonate with consumers.

Cook said that if that’s true—that the Kindle Fire and others captivated the public—that Apple didn’t notice anything with respect to its own sales. “People really want to do multiple things with their tablets, we don’t see limited function tables and ereaders being in the same category,” he said. “I think they’ll sell a fair number of units, but I don’t think that people that want an iPad will settle for a limited function (device).”

In other numbers:

» 85 million people signed up for iCloud after its launch in October.

» iPod sales were down 21 percent compared to a last ago, as it becomes pretty clear the world is moving on from standalone MP3 players. Still, Apple continues to lead the market for that type of device, Oppenheimer said, also noting that iOS-running iPod Touches make up over half of all iPod sales.

» Mac desktop sales increased by 21 percent while Mac laptop sales increased 26 percent. Cook made it pretty clear that Apple isn’t focusing on desktops, however, noting IDC numbers that tablets outsold desktop PCs in the U.S. during the fourth quarter.

» Revenue from the iTunes Store was up 42 percent compared to last year, and Oppenheimer said that 140 million pieces of content—apps, music, and video—were downloaded from the iTunes Store on Christmas Day alone. He also noted that 600,000 copies of Apple’s new iBooks Author tool were downloaded following last week’s iBooks event.

Apple even managed to match analyst expectations as far as its outlook for the upcoming quarter, something it rarely does. Apple said it expects to record revenue of $32.5 billion and earnings per share of $8.50, compared to estimates for $32.04 billion and earnings per share of $8.03.
