Nokia (NYSE: NOK) has agreed to acquire certain assets of Hamburg, Germany-based cellity, a social networking software company. Terms of the deal were not disclosed.

Nokia said it will acquire the company’s 14 employees to “strengthen its competencies in the area of social networking,” but will discontinue the service. Currently, cellity offers a solution to collect and securely store users’ contacts in one place, and allows people to connect over a phone and the web. The company, which was founded in 2006, claims the software has been downloaded more than 5.5 million times in 150 countries.

The agreement is subject to customary closing conditions and is expected to close in the third quarter of 2009.
